Effective on August 24th, 2009 Lifespan Inc. announced that Ms. Marilyn Harz B.Sc., RN, Ph.D., was appointed Chief Administrative Officer and elected to the Board of Directors. The Company will be negotiating a consulting contract with Ms. Harz. Dr. Harz is currently employed as a Senior Vice President of a major medical provider operating in California. Dr. Harz has extensive experience in the development, implementation, education, and coordination of performance improvement activities, quality management, chart review, and case management. Effective on March 26th, 2009 Mr. Stuart Brame was appointed Chief Information Officer. The Company will be negotiating a consulting contract with Mr. Brame. Lifespan Inc. has licensed Cytta Corp. the exclusive right to utilize Lifespan's 'ScreenPhone' technology to develop, manufacture and market telephone/internet access devices for the US. For these rights, Lifespan will receive six million shares of Cytta, a royalty of 0.5% of Net Revenue and a cross obligation to purchase units at wholesale cost from 2010 on. This transaction ensures that the ScreenPhone technology is developed, manufactured and brought to market in the most expeditious manner. It allows Lifespan to concentrate on the numerous and intricate developmental issues involved in completing the Medical ScreenPhone model, and the diverse elements involved in integrating and redesigning the medical peripherals. On June 18, 2009, Cytta Corp. entered into a licensing agreement with Lifespan, Inc. Lifespan has acquired the exclusive license, for a period of ten years unless earlier terminated under the agreement, to manufacture, distribute and market various technologies based internet access and computing products and services. Under the terms of the agreement, Lifespan granted the company the exclusive license to manufacture, sell, distribute, operate, sub-license and market these products and services in the United States. This license grants the company the right to use the trademarked names of 'ScreenPhone,' 'TaskStation,' 'WebTel,' of 'Lifespan.' In exchange for the license, Lifespan will receive 6,000,000 shares of the companys common stock, plus a license fee equal to 0.5% of the net revenue derived from the sale and use of the products and services.
