The Company is a corporation duly organized under the laws of the Commonwealth of Pennsylvania in 1816. The business of the Company is to impound, purify and distribute water. The Company operates within its franchised territory, which covers 39 municipalities within York County, Pennsylvania and seven municipalities within Adams County, Pennsylvania. The Company is regulated by the Pennsylvania Public Utility Commission, or PPUC, in the areas of billing, payment procedures, dispute processing, terminations, service territory and rate setting. The Company must obtain PPUC approval before changing any of the aforementioned procedures. Water service is supplied through the Company's own distribution system. The Company obtains its water supply from the south branch and east branch of the Codorus Creek, which drains an area of approximately 117 square miles. York Water Co. Reports Earnings Results for the Third Quarter and the First Nine Months Ended September 30, 2009

York Water Co. reported earnings results for the third quarter and the first nine months ended September 30, 2009. For the quarter, the company reported net income of $2,091,000 increased 20.2% compared to $1,740,000 for the third quarter of 2008, basic earnings per share increased to $0.18 from $0.15 and operating revenues of $9,750,000 increased 13.8% over $8,566,000 for the third quarter of 2008. For the nine months, the company reported net income of $5,501,000 increased 23.2% compared to $4,466,000 for the first nine months of 2008, basic earnings per share increased to $0.48 from $0.40 and operating revenues of $27,734,000 increased 15.9% compared to $23,934,000 for the first nine months of 2008. The primary contributing factor to the increase in net income was higher water revenues due to growth in the customer base, and a rate increase granted by the Pennsylvania Public Utility Commission effective October 9, 2008. In addition, cost savings were realized by reducing expenses in response to economic uncertainties. The increased revenues and cost savings were partially offset by higher depreciation, pension and retirement costs, and salary and wage expense. The company invested $9.6 million in construction projects. The construction expenditures were for routine distribution system improvements as well as an additional standpipe and booster station and various replacements of aging infrastructure. In addition to construction projects, the company invested over $2.1 million for the acquisition of the water system of West Manheim Township in York County, Pennsylvania.

On October 1, 2009, York Water Co. was notified that the audit practice of Beard Miller Company LLP was combined with ParenteBeard LLC in a transaction pursuant to which Beard combined its operations with ParenteBeard and certain of the professional staff and partners of Beard joined either as employees or partners of ParenteBeard. On October 1, 2009, Beard resigned as the auditors of the company and with the approval of the audit committee of the company's board of directors, ParenteBeard was engaged as its independent registered public accounting firm.
