Ensco Opts to Move to U.K.
By ANN DAVIS Ensco International Inc. became the latest U.S. oil-field services company opting to move to Europe, joining a host of energy contractors that have already relocated, in part for tax reasons. The offshore drilling contractor, which is based in Dallas and incorporated in Delaware, said that its board approved a plan to move its headquarters to the U.K.. Ensco follows several larger Houston-based drilling and services companies, including Transocean Ltd., Noble Corp. and Weatherford International Ltd., which had previously reincorporated offshore and in the last year moved their executives and headquarters to Switzerland. Many energy-service companies say Europe is a better location to service clients, including multinational oil companies and those owned by the governments of petroleum-rich nations. The service firms' profits increasingly come from overseas as governments in places including the Middle East and Africa look to outside contractors for help in extracting resources. For smaller companies like Ensco, the exodus of larger rivals made paying U.S. tax rates a potentially greater burden in competing for business. The planned move would allow it to "potentially achieve a global effective tax rate comparable to that of some of Ensco's global competitors." It said its new headquarter would be in London. U.S. oil-field service companies can pay as high as a 34% to 38% tax rate, compared to 18% to 22% for overseas peers, industry participants estimate. BY TENNILLE TRACY NEW YORK—With November options set to expire on Friday, traders switched their focus to longer-dated options and took up positions in the December and January contracts of several companies. One of the companies that attracted attention was Dell, the Texas-based computer maker. A lot of the action in Dell came from traders who sold December "puts," speculating on the ability of the company's stock to stay above certain levels until Dec. 18. Traders in this case sold December $14 puts, collecting about 15 cents for positions that make money if Dell shares stay above $13.85.
