On September 25, 2009TOR Minerals International Inc. amended its current Credit Agreement with Bank of America. Under the terms of the amendment the maturity date for the company's Credit Agreement was extended from October 1, 2009 to February 15, 2010, at which time all debt under the Credit Agreement becomes due and payable. The company's Credit Agreement with the Bank consists revolving Line of Credit, secured by the accounts receivable and inventory of the company's US operation of which $1,850,000 was outstanding at September 25, 2009; and term loan, secured by the property, plant, equipment, accounts receivable and inventory of the company's US operation, in the amount of $266,667. In addition, the Credit Agreement Amendment amended the terms of the Credit Agreement as the Line was modified to reduce the amount of available borrowing under the Line from $2,500,000 to $2,225,000; and the interest rate on the Line and Term Loan was increased from Prime plus 2.5% to Prime plus 3%. In consideration of the agreements with the Bank contained in the amendment, in accordance with the previous amendment to the Credit Agreement, the company agreed to use all proceeds in excess of $1 million that it receives on or after May 1, 2009 from the issuance of any of its capital stock, from capital contributions in respect of its capital stock, from the issuance of Debentures or from the incurrence of permitted subordinated to prepay the loans and other obligations under the Credit Agreement, in such order and in such manner as the Bank may elect in its sole discretion.
