Spire Corp. Reports Unaudited Consolidated Earnings Results for the Third Quarter and Nine Months Ended Sept. 30, 2009

Spire Corp. reported unaudited consolidated earnings results for the third quarter and nine months ended Sept. 30, 2009. For the quarter, the company reported revenues from continuing operations of $16.5 million, as compared to $16.6 million for the same quarter of 2008. Loss from operations was $1.99 million compared to income from operations of $600,000 for the same period a year ago. Net loss was $3.5 million, or $(0.42) per share, compared with net income of $445,000, or $0.05 per share, for the third-quarter of 2008. These losses include losses of $1.2 million and $77,000, or $(0.15) and $(0.01) per share, for the third-quarter periods of 2009 and 2008, respectively, from the Company's medical products business unit which has been classified as discontinued operations. For the nine months, revenues from continuing operations were $50.1 million, a 9% increase from $46.2 million for the same nine month period in 2008. Loss from operations was $6.6 million compared to income from operations of $969,000 for the same period a year ago. Net loss was $9.6 million, or $(1.15) per share, compared with a net loss of $347,000, or $(0.04) per share, for the same period in 2008. These results include losses of $1.6 million and $358 000, or $(0.20) and $(0.04) per share, for the nine month periods ended September 30, 2009 and 2008, respectively, from the company's medical products business unit which has been classified as discontinued operations. Net cash provided by operating activities of continuing operations was $429,000 compared to net cash provided by operating activities of $2.9 million for the same period in 2008.

Spire to Expand UNICOR Solar Module Manufacturing to 75 Megawatts

Spire Corp. announced it has entered an agreement with Federal Prison Industries Inc. (UNICOR) to expand their current 25 megawatt (MW) module manufacturing capacity by the addition of a 50MW module manufacturing line to be located in Sheridan, Oregon. By expanding to a 75MW capacity, nearly 500 jobs have been created by Spire, which ultimately provides approximately 300 inmates with marketable job skills. This collaboration strengthens Spire's presence in the federal market and provides UNICOR with the engineering support needed to provide quality systems to their customer base.

Spire Corp. Enters Commercial Agreements with Uni-CHEM

Spire Corp. announced that it entered into two contracts to supply Uni-CHEM Co. Ltd. of Seoul, South Korea, via its United States entity, Uni-CHEM Solar, a 60 megawatt (MW) per year turnkey Cell Line and a 50MW per year turnkey Module Line, as well as the associated utilities and infrastructure support. Uni-CHEM has indicated its intent to lease space from Spire at its Hudson, New Hampshire's Spire Semiconductor facility to house the automated 60MW Cell Line and 50MW Module Line. Terms of the sub-lease are not yet fully defined and currently under negotiation. The Uni-CHEM integrated Cell and Module Lines are planned to become operational in the second half of 2010. Additionally, Uni-CHEM has agreed it will form a US entity, which will purchase 51% of Spire Solar Systems, Spire Corporation's system integration business, subject to definitive documentation. Such definitive agreements have not yet been finalized.

SPIRE CORP Files SEC form 8-K, Entry into a Material Definitive Agreement

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT. As previously announced in a Form 8-K filed on September 9, 2009 (the "September 9 Form 8-K"), on September 4, 2009, Spire Corporation (the "Company"), Spire Biomedical, Inc., a wholly owned subsidiary of the Company ("Seller," and together with the Company, "Spire"), and Bard Access Systems, Inc. ("Bard"), entered into an Asset Purchase Agreement (the "Purchase Agreement") pursuant to which Bard has agreed to (i) acquire substantially all of the assets of Spire's hemodialysis catheter business and (ii) assume and pay post-closing liabilities related to the purchased assets as set forth in the Purchase Agreement (collectively, the "Transaction"). As disclosed in the September 9 Form 8-K, under the original terms of the Purchase Agreement, such agreement could have been terminated by either Spire or Bard if the closing had not occurred by September 30, 2009. On September 25, 2009, Spire and Bard entered into a letter agreement extending such outside closing date from September 30, 2009 to October 31, 2009. On October 30, 2009, Spire and Bard entered into a letter agreement extending such outside closing date from October 31, 2009 to November 30, 2009.
