Levi & Korsinsky is investigating the Board of Directors of Semitool Inc. for possible breaches of fiduciary duty and other violations of state law in connection with their attempt to sell the company to Applied Materials Inc. Under the terms of the transaction, Semitool shareholders will receive $11.00 in cash for each share of Semitool they own for a total transaction value of approximately $364 million. The investigation concerns whether the Semitool Board of Directors breached their fiduciary duties to Semitool shareholders given that (i) the offer price is only a 13% premium over the $9.73 price that Semitool shares traded at as recently as October 12, 2009; (ii) analysts set a mean price target of $12.00 for Semitool shares; and (iii) directors and executive officers of Semitool holding about 32% of the Company's outstanding common stock have agreed to support the deal.

Semitool Inc. announced consolidated earnings results for the fourth quarter and full year ended September 30, 2009. For the quarter, the company reported revenue of $47.1 million compared to $60.1 million in the fourth quarter last year. The company's net income increased to $2.2 million or $0.07 basic and diluted per share compared with a net income of $1.2 million or $0.04 basic and diluted per share in last year's fourth quarter. The net income increase versus the comparable year-ago quarter was primarily the result of the company's expense reduction efforts, which drove down operating costs by 42% from fourth quarter fiscal 2008 levels. Income from operations was $3.8 million compared to $3.5 million for the same period last year. Income before income tax was $3.5 million compared to $1.8 million for the same period last year. For the full fiscal year, revenue was $139.0 million against revenue of $238.6 million in fiscal 2008. Net loss was $11.4 million or $0.35 basic and diluted per share, against net income of $6.0 million or $0.19 basic and diluted per share last year. Loss from operations was $18.9 million compared to income form operations of $10.02 million for the same period last year. Loss before income tax was $19.9 million compared to income before income tax of $8.9 million for the same period last year. The company expects to report revenue for the first quarter of fiscal 2010 in the range of $47 million to $50 million. First quarter net income per share is expected to range from $0.07 to $0.09. For fiscal 2010, the company expects to report revenue in a range of between $190 million to $210 million.
