The U.S. District Court for the District of Connecticut dismissed a securities fraud action brought against a company and certain of its officers by shareholders alleging material omissions relating to the financial condition of a major debtor to the company. Shareholders in Realty Finance Corporation sued the company and certain of its officers alleging violations of 11, 12(a)(2) and 15 of the Securities Act of 1933 arising from the company's alleged failure to disclose material information in its IPO registration statement and related prospectus. The complaint alleged that the company failed to disclose that one of its outstanding debtors, Triton Real Estate Partners Inc., was experiencing severe financial distress in connection with two real estate development projects to which CBRE provided financing and that CBRE's failure to disclose the associated risks violated GAAP standards. In the two days following the company's Feb. 26, 2007, announcement that its associated loans were non-performing, the company's stock price dropped by more than 18%, to the shareholders' material detriment. After the plaintiffs' 12(a)(2) claim was dismissed without prejudice, the plaintiffs' re-pled the claim. The defendants moved to dismiss.
