Response Genetics, Inc announced that it has received a notice of deficiency from the NASDAQ Stock Market. The non-compliance cited by NASDAQ is the result of the resignation of Hubertus Spierings from the Companys Board of Directors, disclosed in a Report on Form 8-K issued by the Company on February 9, 2010. With the departure of Mr. Spierings, the Company is no longer in compliance with NASDAQ Listing Rule 5605(b)(1), which requires that the Company's Board of Directors to be comprised of a majority of independent directors. The Companys Board of Directors presently has eight members, including four independent directors. NASDAQ Listing Rule 5605(b)(1)(A) provides a 180-day cure period for Response Genetics to regain compliance with the independent director requirement. The Company intends to take appropriate measures to regain compliance prior to the expiration of the NASDAQ deadline on August 9, 2010.

On February 8, 2010, Hubertus Spierings tendered his resignation as a director of Response Genetics Inc., effective immediately. The resignation was not a result of a disagreement with the company.

Response Genetics Inc. announced that Edith P. Mitchell, M.D. has been appointed to the company's Board of Directors. Dr. Mitchell is a clinical professor of Medicine and Medical Oncology at Jefferson Medical College of Thomas Jefferson University, where she is also the program leader of Gastrointestinal Oncology. Dr. Mitchell will replace Dr. David Gandara who tendered his resignation as a member of the company's Board of Directors effective as of January 19, 2010. Dr. Mitchell received her medical degreee from the Medical College of Virginia and served as a physician in the U.S. Air Force, where she attained the rank of Brigadier General. Dr. Mitchell has extensive clinical research experience and is a member of multiple national study sections and commitees.
