Sanofi-Aventis and Regeneron Expand Strategic Antibody Collaboration

Sanofi-Aventis and Regeneron Pharmaceuticals Inc. announced that they have entered into agreements to expand and extend their existing global collaboration to discover, develop, and commercialize fully-human therapeutic monoclonal antibodies. Sanofi will increase its annual funding commitment from $100 million to $160 million beginning in 2010, and the research funding will now extend through 2017. The companies aim to advance an average of four to five antibodies into clinical development each year. In addition to its VelocImmune() technology, Regeneron will contribute to the collaboration its next generation technologies related to antibody generation. Sanofi-aventis has an option to extend the discovery program for up to an additional three years for further antibody development and preclinical activities. The amendments announced do not change the financial terms of the November 2007 agreement governing the development and commercialization of antibody drug candidates arising from the discovery collaboration. To date, Regeneron and sanofi have advanced four therapeutic antibodies into clinical development and have filed an IND for a fifth additional antibody. Among the four antibodies in clinical development, three are antibodies to (1) the Interleukin-6 receptor (IL-6R), being developed for the treatment of rheumatoid arthritis, (2) Nerve Growth Factor, being developed for the treatment of pain, and (3) Delta-like Ligand 4 (Dll4), being developed for the treatment of advanced malignancies. The targets of the two other antibodies have not been disclosed.

Sanofi Expands Regeneron Deal

By RON WINSLOW Regeneron Pharmaceuticals Inc. and Sanofi-Aventis SA said they are expanding their drug development partnership under terms in which the French drug maker will invest more than $1 billion for research at the biotechnology company over the next eight years. Under the agreement, Sanofi will pay Tarrytown, N.Y.-based Regeneron $160 million each year beginning next year and extending through 2017 to co-develop new antibody drug candidates. Most of the money isn't subject to reaching specific research or marketing milestones. They will share in the profits of any drugs that reach the market. Under a collaboration begun in 2007, the two companies have put four compounds into early stage human studies and are awaiting approval on a fifth candidate. Sanofi was contributing $100 million annually through 2012 under that pact, which is being expanded under the new agreement. Sanofi owns a nearly 20% stake in Regeneron, but under a standstill agreement can't acquire more than 30% of the company. It didn't increase its stake with the new pact. Leonard S. Schleifer, Regeneron's president and chief executive officer, said that under the partnership his company heads up management of the research and discovery enterprise, anchored by a special technology to develop antibodies. Sanofi would take the lead on commercial development of compounds the companies advance beyond initial human studies. Sanofi is supporting the research "without taking over the culture and changing the company—without Sanofizing us," Dr. Schleifer said. Item 1.01. Entry Into a Material Definitive Agreement. Amended and Restated Collaboration Agreements On November 28, 2007, Regeneron Pharmaceuticals, Inc. (the "Company") entered into a global, strategic collaboration with various affiliates of sanofi-aventis, a company organized under the laws of France (sanofi-aventis and its affiliates are referred to herein as "Sanofi"), to discover, develop and commercialize fully-human therapeutic antibodies utilizing the Company's VelociSuite of technologies (the "Collaboration"). The Collaboration has been governed by a Discovery and Preclinical Agreement, dated November 28, 2007 (the "Discovery Agreement"), by and between Aventis Pharmaceuticals Inc. and the Company, and a License and Collaboration Agreement, dated November 28, 2007, by and among Aventis Pharmaceuticals Inc., sanofi-aventis Amérique du Nord and the Company (the "License and Collaboration Agreement" and, together with the Discovery Agreement, the "Original Collaboration Agreements"). On November 10, 2009, the Company and Sanofi amended the Original Collaboration Agreements by entering into an Amended and Restated Discovery and Preclinical Agreement (the "Amended and Restated Discovery Agreement") and an Amended and Restated License and Collaboration Agreement (the "Amended and Restated License Agreement").
