Reeves Telecom Ltd. Partnership was notified that, effective January 1, 2010, Frost, PLLC and certain partners of Moore Stephens Wurth Frazer and Torbet, LLP formed Frazer Frost, LLP, a new partnership. Pursuant to the terms of a Combination Agreement by and among Frost, MSWFT and Frazer Frost, each of Frost and MSWFT contributed substantially all of their assets and certain of their liabilities to Frazer Frost, resulting in Frazer Frost assuming Frost's engagement letter with the Partnership and becoming the Partnership's new independent accounting firm, and the principal accountant engaged to audit the Partnership's financial statements, effective January 1, 2010.
Reeves Telecom Ltd. Partnership amended its Amended and Restated Partnership Agreement. Article 15, 'Transfer of Partnership Interests,' was amended by adding Section 15.4, 'Conditions to Transfer,' primarily to add the requirement that with respect to transfers, an opinion of counsel be obtained that such transfer will not result in termination of the Partnership as a partnership for Federal income tax purposes and will not change the status of the Partnership as a partnership for Federal income tax purposes. Certain other non-material changes were made to the remainder of Article 15 and to Sections 1.7, 1.10, 2.3, 6.2, 17.1(vi) and 18.5, a new Section 1.17 was added and former Section 1.17 was renumbered as Section 1.18.
