NovaBay Pharmaceuticals has a licensing and research collaboration agreement with Alcon Manufacturing Ltd. for use of its Aganocides in the eye, ear and sinus, and in contact lens solutions, as well as an agreement with Galderma S.A. to develop and commercialize Aganocides in acne, impetigo, and other dermatological indications. The company was formerly known as NovaCal Pharmaceuticals, Inc. and changed its name to NovaBay Pharmaceuticals, Inc. in August 2007. Novabay Pharmaceuticals, Inc. Announces Amendment of its Bylaws

On January 20, 2010, NovaBay Pharmaceuticals, Inc. Board has amended the following provisions of its bylaws: Amended Article II, Section 10, to clarify and establish that election of directors is by a plurality vote as opposed to a majority vote. Amended Article III, Sections 3 and 4 to harmonize these sections with NovaBay's Articles of Incorporation, which provide that NovaBay has a classified board consisting of three classes of directors. Amended Article III, Section 6 to state that at the first regular meeting of the board of directors following each annual meeting of shareholders, the board of directors shall meet for the purpose of organization, any desired election of officers, and the transaction of other business. Previously this provision required that the Board meet immediately following the annual meeting of shareholders for these purposes. Amended Article III, Section 8 to change the advance notice provision for calling a Board meeting from 48 hours to 24 hours.

On December 17, 2009, NovaBay Pharmaceuticals, Inc. entered into an amendment of its collaboration and license agreement with Galderma S.A., dated March 20, 2009. The effective date of the amendment is December 1, 2009. The amendment modifies certain defined terms and fees related to the development and testing of dermatological formulations. It also provides for an additional tolerance study and related completion and continuation payments to NovaBay by Galderma.
