MoSys Inc. announced the availability of its PCI Express 2.0 PHY. MoSys' PHY complies with the PIPE 2.0 specification and provides the physical layer interface that connects to industry standard PCI Express 2.0 controllers. MoSys' PCI Express 2.0 PHY, together with Denali Software Databahn PCIe controller IP and PureSpec PCIe Verification IP, extends ability to offer high-quality end-to-end interface solutions to meet the needs of mutual 40nm customers. MoSys' PIPE 2.0 compliant PCI Express 2.0 PHY is available now to chip designers using 40nm and 65nm processes. The PHY is available for both wirebond and flipchip packages.

MoSys Inc. reported unaudited consolidated earnings results for the third quarter and nine months ended September 30, 2009. For the quarter, the company reported net loss of $5,048,000 or $0.16 per diluted share on total net revenues of $3,368,000 compared to net loss of $3,238,000 or $0.10 per diluted share on total net revenues of $4,054,000 for the same period a year ago. Loss before income taxes was $5,045,000 compared to $3,216,000 for the same period a year ago. Loss from operations was $5,184,000 against $3,607,000 for the same period a year ago. Non-GAAP net loss was $2,992,000 or $0.10 per diluted share compared to $2,063,000 or $0.06 per diluted share for the same period a year ago. The sequential and year-over-year increases in license Revenues were primarily driven by growth in revenues from ongoing interface IP projects. For the nine months, the company reported net loss of $14,261,000 or $0.46 per diluted share on total net revenues of $7,915,000 compared to net loss of $12,112,000 or $0.38 per diluted share on total net revenues of $10,066,000 for the same period a year ago. Loss before income taxes was $14,225,000 compared to $12,001,000 for the same period a year ago. Loss from operations was $14,718,000 against $14,027,000 for the same period a year ago. Non-GAAP net loss was $9,653,000 or $0.31 per diluted share compared to $7,944,000 or $0.25 per diluted share for the same period a year ago.

On October 27, 2009, MoSys, Inc., or the Company, issued a press release announcing its financial results for the third quarter of fiscal 2009 ended September 30, 2009. A copy of this press release is furnished as Exhibit 99.1 to this report. The press release should be read in conjunction with the statements regarding forward-looking statements, which are included in the text of the release. In addition to disclosing financial results calculated in accordance with U.S. generally accepted accounting principles (GAAP), the Company's earnings release contains non-GAAP financial measures that exclude the statement of operations effects of stock-based compensation, amortization of intangibles, acquisition-related transaction costs, acquisition-related contingent consideration compensation and restructuring charges. Stock-based compensation charges represent non-cash charges related to equity awards granted by the Company. Management is not confident such charges can be measured consistently with other management performance objectives, and, therefore believes that excluding these charges facilities comparisons of operational performance. Amortization of intangibles charges represent non-cash charges arising from the amortization of acquired assets, and management believes that excluding these charges facilitates comparisons to the Company's ongoing operating results because the expense for the amortization of intangibles is not indicative of operational performance and the amount of such charges varies significantly based on the size and timing of the acquisitions and the maturity of the business being acquired.
