Modtech Holdings, Inc. has announced that it has filed a Form 15 with the Securities and Exchange Commission to voluntarily deregister its common stock under the Securities Exchange Act of 1934, as amended. The par value of the common stock is $0.01 per share.

Modtech Holdings Inc. reported earnings results for the second quarter and six months ended June 30, 2008. Net sales for the three months was $13.4 million compared to $24.0 million for the three ended June 30, 2007, respectively. The decrease in sales in 2008 was primarily due to project delays and a continued general slowdown in all markets. Net loss for the second quarter of 2008 was $4.9 million, or $0.23 per share, on 21.4 million weighted-average shares outstanding, compared to a net loss of $42.9 million, or $2.00 per share, on 21.4 million weighted-average shares outstanding, in the second quarter of 2007. Net sales for the six months ended June 30, 2008 was $26.1 million compared to $51.5 million six months ended June 30, 2007. Net loss for the first half of 2008 was $9.5 million, or $0.45 per share on 21.4 million weighted-average shares outstanding, compared to a net loss of $42.4 million, or $1.99 per share on 21.3 million weighted-average shares outstanding, in the first half of 2007. The net losses for the quarter and six months ended June 30, 2007 include a non-cash goodwill impairment charge of $38.3 million.
