(“Company”) was incorporated in March 2002 under Maryland law to hold all of the common stock of Monarch Community Bank (“Monarch” or the “Bank”), formerly known as Branch County Federal Savings and Loan Association. The Bank converted to a stock savings institution effective August 29, 2002. In connection with the conversion, the Company sold 2,314,375 shares of its common stock in a subscription offering. On April 15, 2004, the Company completed its acquisition of MSB Financial, Inc., parent company of Marshall Savings Bank. Accordingly, MSB Financial was merged with and into Monarch Community Bancorp, Inc. On June 7, 2004, Marshall Savings Bank was merged with and into Monarch Community Bank. The Company issued a total of 310,951 shares of its common stock and paid cash of $19.7 million to former MSB Financial stockholders. COLDWATER, Mich., Oct. 29, 2009 (GLOBE NEWSWIRE) -- Monarch Community Bancorp, Inc. (Nasdaq:MCBF - News), the parent company of Monarch Community Bank, today announced a loss for the quarter ended September 30, 2009 of $440,000 based on net loss available to common shareholders compared to earnings of $57,000 for the quarter ended September 30, 2008. Basic and diluted losses per share for the quarter ended September 30, 2009 were $(.22) compared to earnings of $0.03 for the same period in 2008. Monarch Community Bancorp also reported a net loss for the first nine months of 2009 of $2.2 million compared to earnings of $638,000 for the same period a year ago. Basic and diluted losses per share for the nine months ended September 30, 2009 were $(1.13) compared to earnings of $0.27 for the same period in 2008. The decline in net income and earnings per share for both periods was primarily due to the increase in loan loss provision required by the weak Michigan economy.
