On October 8, 2009, Rajesh Navar notified the Board of Directors of LiveDeal Inc. of his resignation as Chairman of the Board of Directors, and as a director of the Company, effective as of October 15, 2009. Mr. Navar's resignation is the conclusion of a transition that began with his earlier resignation as President in 2008 and is the result of his relocation to India and pursuit of new ventures and not the result of any disagreement with the Company.

The board of directors of LiveDeal Inc. appointed Joseph R. Huber to serve as a director of the company. Huber, 40, has served as chief executive officer, chief investment officer and managing member of Huber Capital Management, LLC. Prior to that time, Mr. Huber was the director of research and a principal of Hotchkis and Wiley Capital Management. Huber previously served as a portfolio manager for Merrill Lynch Asset Management and Goldman Sachs Asset Management.

LiveDeal Inc. reported unaudited consolidated earnings results for the third quarter and nine months ended June 30, 2009. For the quarter, the company reported loss from continuing operations and net loss of $2.11 million or $0.35 per diluted share on net revenues of $2.44 million compared to loss from continuing operations of $1.51 million or $0.24 per diluted share and net loss of $1.58 million or $0.25 per diluted share on net revenues of $5.42 million for the same period a year ago. Operating loss for the quarter was $2.3 million compared to $1.73 million for the same period a year ago. Loss from continuing operations before income taxes was $2.22 million against $1.7 million for the same period of last year. For the nine months ended June 30, 2009, the company reported net loss of $20.30 million or $3.38 per diluted share on net revenues of $11 million compared to net loss of $1.25 million or $0.20 per diluted share on net revenues of $17.87 million for the same period a year ago. The company reported loss from continuing operations of $20.21 million or $3.37 per diluted share compared to loss from continuing operations of $1.21 million or $0.20 per diluted share for the same period a year ago. Operating loss for the period was $23.52 million compared to $1.28 million for the same period a year ago. Loss from continuing operations before income taxes was $16.16 million against $1.22 million for the same period of last year.
