Saint Michael's Medical Center has implemented workforce management solutions from Kronos. The time and attendance and employee scheduling solutions from Kronos replaces partially manual and disparate systems previously used to manage the organization's 2,300 employees. According to Kronos, Saint Michael's previously used various manual processes and a scheduling system from another vendor to manage its workforce. These systems created redundant and error-prone manual processes and did not allow managers visibility into how labor could be utilized optimally for better patient care. By automating the time and attendance process with Kronos, Saint Michael's is reducing the risk of errors and payroll inflation common to manual processes. The employee scheduling application will help Saint Michael's determine the correct number of employees to cover shifts and the best workers to fill open shifts. The application takes the guesswork out of the process and gives managers the tools they need for an optimized deployment of the workforce. The Kronos time and attendance, employee scheduling, and labor analytics software, working in tandem with Kronos data collection devices, is helping Saint Michael's control labor costs, minimize compliance risk, and improve workforce productivity.
The Essex County Correctional Facility in Massachusetts has gone live with Kronos's employee scheduling and HR and payroll solutions. Kronos has configured the solutions, trained employees and provided support. The Kronos solution generates a daily absenteeism and overtime report, which enables the sheriff to track overtime by the hour and make adjustments to avoid the added expense of overtime. Using the Kronos 4500 Touch ID biometric terminal, the facility has also eliminated buddy punching (the act of employees punching in for one another).

GENERAL On September 29, 2008, Kronos Advanced Technologies, Inc. ("Kronos" or the "Company") received a notice of event of default from AirWorks Funding LLLP ("AirWorks") with respect to the Secured Convertible Promissory Note (the "Promissory Note") due June 19, 2010, issued by the Company to AirWorks. The notice states that (1) an Event of Default under Section 2.1(a) of the Promissory Note has occurred due to the failure of the Company to make interest payments on the Promissory Note and (2) the entire principal amount of, and the interest on, the Promissory Note is declared immediately due and payable in the principal amount of $3,551,735 plus interest. The Company has been, and continues to be, in discussions with its secured lenders regarding the outstanding obligations under the AirWorks and Hilltop promissory notes, the alleged occurrence of an event of default, and the future operational plan of the Company. In connection with the foregoing and in light of the Company's financial condition (including with respect to certain other obligations of the Company), the Board of Directors has appointed an independent committee, consisting of James P.
