In June 2003, JPE, Inc. adopted a plan of dissolution, pursuant to which it ceased its business and did not engage in any business activities except for the purpose of winding up its business and affairs. As a part of the plan, JPE sold all of the assets of its subsidiary, Plastic Trim, Inc., to PTI Acquisition, LLC for $8,750,000 in cash. Plastic Trim manufactured extruded and injection molded plastic exterior trim products. These parts were used for decorative and styling purposes in the production of passenger cars, light trucks, minivans, and sport-utility vehicles.
