IGIA Inc. announced that pursuant to the sale of the Notes and Warrants, the Company has agreed to amend Article Fourth its Certificate of Incorporation to increase the number of authorized shares from 1,001,000,000, consisting of 1,000,000,000 shares of common stock, par value $0.001 per share and 1,000,000 shares of preferred stock, par value $0.001 per share, to 2,001,000,000, consisting of 2,000,000,000 shares of common stock, no par value per share, and 1,000,000 shares of preferred stock, no par value per share. The amendment will become effective 20 days after the mailing of an Information Statement on Schedule 14C with respect to the amendment is mailed by the Company to its stockholders.
