Harleysville Group Inc. (the Company) is an insurance holding company headquartered in Pennsylvania which, through its subsidiaries, engages in the property and casualty insurance business on a regional basis. As used herein, “Harleysville Group” refers to Harleysville Group Inc. and its subsidiaries. The Company is a Delaware corporation formed by Harleysville Mutual Insurance Company (the Mutual Company) in 1979 as a wholly owned subsidiary. In May 1986, the Company completed an initial public offering of its common stock, reducing the percentage of outstanding shares owned by the Mutual Company to approximately 70%. In April 1992, the Mutual Company completed a secondary public offering of a portion of the Company’s common stock then owned by it, further reducing the percentage of outstanding shares owned by the Mutual Company. At December 31, 2007, the Mutual Company owned approximately 53% of the Company’s outstanding shares. ... For the quarter, the company reported net income of $24,151,000 or $0.86 per diluted share on total revenues of $244,973,000 compared to net income of $4,627,000 or $0.16 per diluted share on total revenues of $229,429,000 for the same period a year ago. Income before income taxes was $32,438,000 compared to $3,312,000 for the same period a year ago. Operating income was $23,571,000 compared to $24,644,000 for the same period a year ago. For the year ended, the company reported net income of $86,296,000 or $3.07 per diluted share on total revenues of $980,620,000 compared to net income of $42,319,000 or $1.43 per diluted share on total revenues of $985,316,000 for the same period a year ago.
