GTX Corp. and MNX have entered into an exclusive product test agreement to develop an industry first, proprietary GPS enabled transport container. Over the following 2 quarters the companies will collaborate on product development, market analysis and global testing. GTX Corp. has partnered with BrickHouse Security to offer products that can assist in the recovery of the 2,000 children reported missing every day. GTX Corp. and BrickHouse will be working together to solve safety problems through product development, co-branding and joint marketing of innovative geo-specific and proximity-alerting solutions. To help keep these children safe locally in busy malls, parks, and even in their own back yard, GTX Corp, through its Code Amber(R) subsidiary has formed a distribution relationship with BrickHouse Security to market the company's Child Locator, as well as to jointly develop new safety and protection programs. The Child Locator, recently featured in a global media campaign by Duracell batteries, uses GPS technology to monitor the location of wandering children up to 600 feet away using an onscreen display and alert system. The Child Locator is now available on the Code Amber web site and promoted on the Code Amber News Ticker that is viewed by millions. GTX Corp. has expanded its subscriber base for geo-proximate real time information about reported missing children, through placement of its News Ticker on the BHS website and with a new mobile App; Code Mobile-now available on iPhone, Blackberry and Android platforms. The Code Amber (R) News Service and the Child Locator have already aided in the recovery of numerous children.

GTX Corp. and the Kalika Group have entered into a binding exclusive agreement which provides for the deployment of GTX Corp.'s proprietary GPS technologies and product line to the territories of Nepal, India, Pakistan, Bangladesh, Sri Lanka, Maldives and Bhutan-a vast marketplace comprising of an emerging, dynamic economy with a combined population of over 1.5 billion. The significance of this agreement is two-fold; it will increase the revenue stream for GTX Corp. through licensing fees and existing product sales and will also expand the distribution channels for the Company with a licensee that touches one-quarter of the world's population. GTX Corp. has a pipeline of products and solutions in development and Kalika Group will become the systems integrator and delivery channel for these new applications to an untapped market, providing tremendous opportunity for future growth and continued global market penetration. GTX Corp. and Kalika will immediately begin conducting product testing, establishing regional cellular connectivity and implementation of the GTX back-end tracking portal for the local markets, with an aggressive time line to soft launch in the first quarter of 2010. Kalika is looking to deploy a variety of end-user products including personal monitoring, integrated logistics management, vehicle tracking, the GPS Shoe and smart phone Apps; all to be availed through the GTX viewing portal which will be hosted and localized for the territories. Upon completion of the test phase, the agreement rolls into a 3 year exclusive licensing contract with up front fees and a commitment of over 70,000 units for all the territories over the 3 year period.
