Grandsouth Bancorp., Board Meeting, Aug 20, 2008 Agenda: To consider that the shares of common stock to be reclassified in the proposed going private transaction be reclassified as a series of preferred stock on a share for share basis with the following preferences, limitations and relative rights: the new stock would not have voting rights, except with respect to a proposal to sell or merge the company, and except as otherwise required by law; the new stock would be entitled to a dividend payment anytime a dividend was paid on the common stock in an amount that would be 105% of the amount of the common stock dividend; in the event that the company were to be sold or merged, the new stock would be automatically converted to common stock, and would therefore participate in the transaction as though it had never been reclassified; and the new stock would share ratably with the common stock in the net assets of the company upon dissolution of the company.
