Global Resource Corp. announced an agreement with Universal Alternative Fuels Inc. that grants worldwide, exclusive, royalty free license for the use of GBRC's patent-pending microwave technology for oil shale and coal applications. Under the terms and conditions of the License Agreement, GBRC will receive a $750,000 cash payment. In addition, under the terms of the License Agreement: GBRC will remain the exclusive manufacturer of any microwave units used and/or sold by the Licensee under the License Agreement. The company will receive and retain a 20% equity interest in the Licensee. GBRC will, in certain circumstances, have the right to re-purchase the license from the Licensee.
Global Resource Corporation Provides Additional Details Regarding Joint Development Agreement with Schlumberger

Global Resource Corp. provided additional details regarding the company's joint development agreement (JDA) with Schlumberger Limited. The comprehensive JDA provides for a collaborative arrangement between Global Heavy Oil Corporation, a wholly-owned subsidiary of Global Resource, and Schlumberger. The JDA provides for a three phased approach with the goal of creating commercial applications/products by utilizing both companies' microwave processing technologies. Under the JDA, Phase 1 will focus on research and development and identifying specific applications that either reduce costs or increase the value of heavy oil. Heavy oil, being hydrocarbons having an API gravity below 23.4 degrees, form over 70% of the world's known hydrocarbon resources. Phase 1 will run for up to 2 years although a much shorter period is anticipated. In Phase 2, the collaboration will develop one or more prototypes based on the findings of Phase 1. Finally Phase 3 will center on the commercialization and sale of the resulting applications/products for heavy oil processing. Work and research under Phase 1 of the agreement has already begun, with an Oversight and Technical Steering Committee already in place and operational. Under terms of the agreement, Global Resource has already received a payment of $600,000 from Schlumberger for Phase 1, with another $1 million payable at the inception of Phase 2. Depending on the ultimate patent portfolio, Schlumberger will allow a joint venture credit of up to $8 million to GBRC. The resulting joint venture commercialization revenues will be shared by the two companies with 60% going to Schlumberger and 40% to Global Resource.

Worthington resigned from the position of Chief Executive Officer of Global Resource Corporation (the "Company") as well as from its Board of Directors (the "Board"), including as Interim Chairman of the Board. Mr. Worthington was not serving on any committee of the Board. On November 11, 2009, the Board elected Mr. Brian Ettinger to the Board of Directors of the Company and appointed him as the Chairman of the Board, filling the vacancy created by the resignation of Mr. Worthington. Compensation to be paid to Mr. Ettinger for services to be provided by him as a member of the Board and as Chairman of the Board has not yet been determined. Mr. Ettinger, a consultant to the Company since 2008, currently serves as the CEO and General Counsel for Worldwide Strategic Partners, Inc. ("WSP"), an energy consulting firm involved in domestic and international energy projects involving oil and gas production, exploration, alternative fuels, waste to energy, biofuels, power and pipelines. General Lincoln Jones III, a director of the Company, owns in excess of ten percent of WSP. The Company currently has a consulting agreement in place with WSP. LAUREL, N.J.--(BUSINESS WIRE)--Global Resource Corporation (Other OTC:GBRC) (“GBRCâ€), a developer of a patent-pending microwave technology, today announced the company has entered into an agreement for the sale of a 1-ton prototype unit and the grant of a worldwide exclusive license agreement (“License Agreementâ€) with Universal Alternative Fuels, Inc. Item 1.01 Entry into a Material Definitive Agreement On October 14, 2009, Global Resource Corporation (the "Company") entered into a License Agreement with Universal Alternative Fuels, Inc. ("UAF"). On the same day, the Company and UAF entered into Amendment Number 1 to the License Agreement. Copies of the License Agreement and Amendment Number 1 thereto are attached hereto as Exhibits 10.1 and 10.2, respectively, and incorporated herein by reference in their entirety. Pursuant to the terms of the License Agreement, in material part, (i) UAF purchased an exclusive, world-wide, royalty-free license, with the right to sub-license and effective for an unlimited time, to use and exploit the Company's intellectual property and technological know-how for the microwave processing of oil shale and coal and the recovery of energy, energy-producing materials and by-products from oil shale and coal; (ii) UAF paid to the Company a license fee of $750,000 and will issue to the Company shares of common stock of UAF equal to 20% of the issued and outstanding shares of UAF common stock; and (iii) UAF agreed to purchase exclusively from the Company all machines to be manufactured for UAF (or its sublicensees) under the License Agreement, subject to the Company's ability to manufacture such machines. In connection with the execution of the License Agreement, the Company entered into a Security Agreement with UAF granting to UAF first priority security interests in (i) the Company's existing prototype machine in Rockford, Illinois (the "Existing Prototype Machine") and (ii) the Company's patent rights, technology and trademarks as applied to the oil shale and coal fields of use.
