On September 21, 2007, Merrill Lynch & Co., Inc. (“Merrill Lynch & Co.”) acquired all of First Republic’s outstanding shares of common stock. First Republic, which owned 100% of the Company’s outstanding common shares, merged with and into Merrill Lynch Bank & Trust Co., FSB (the “Bank”), a federal stock savings bank and a wholly owned subsidiary of Merrill Lynch & Co. Upon completion of the merger, First Republic became a division of the Bank. On the same date, the Bank became the controlling shareholder and owner of 100% of the Company’s outstanding common shares.
