Donaldson Company, Inc., together with its subsidiaries, engages in the manufacture and sale of filtration systems and replacement parts worldwide. The company operates in two segments, Engine Products and Industrial Products. The Engine Products segment offers air filtration systems, exhaust and emissions systems, liquid filtration systems, and replacement parts. This segment serves independent distributors, original equipment manufacturers (OEMs) dealer networks, private label accounts, and equipment fleets, as well as OEMs in the construction, mining, agriculture, aerospace, defense, and truck markets. The Industrial Products segment provides dust, fume, and mist collectors; compressed air purification systems; liquid filters and parts; air filter systems; PTFE membrane and laminates; and specialized air filtration systems for a range of applications, including computer hard disk drives. This segment sells its products to various industrial end-users, OEMs of gas-fired turbines, and OEMs and end-users requiring clean air. Donaldson Company, Inc. was founded in 1915 and is based in Minneapolis, Minnesota.

Donaldson CEO Cook made $1.52M in ’09

Donaldson Co. Inc. CEO William Cook received $1.52 million in total compensation during fiscal 2009, down from nearly $4.4 million the prior year, according to a filing with the U.S. Securities and Exchange Commission. The top executive at the Bloomington-based filtration systems company received a salary of $700,000 in 2009, flat compared to 2008. However, his nonequity compensation pay fell to $60,828 in 2009, down from nearly $1.1 million in the prior year. The amount of nonequity compensation pay granted to an executive is based on the company’s performance. The value of stock awards granted to Cook also fell sharply. Donaldson recognized an expense reversal of $891,000 with respect to Cook’s stock awards, compared to an expense of $1.2 million a year ago. For the 2009 fiscal year, Donaldson (NYSE: DCI) reported a profit of $131.9 million, or $1.67 per share, down from $172 million, or $2.12 million the previous year. Sales were nearly $1.9 billion, down from $2.2 billion the previous year. Donaldson’s stock dropped 14.6 percent during fiscal 2009. During the same time period, Standard & Poor’s Index of Industrial Machinery Companies was down 23.2 percent, and the S&P 500, itself, declined 20 percent. Donaldson plans to hold its annual shareholders meeting at the firm’s Campus West, 2001 W. 94th St., Bloomington, on Friday, November 20, beginning at 1 p.m. Measuring compensation The Minneapolis/St. Paul Business Journal’s methodology uses the total figures found in the proxy’s Summary Table, because they represent the accounting charge — the impact on earnings — for that fiscal year.
