Commercial Vehicle Group Inc. Reports Unaudited Consolidated Earnings Results for the Third Quarter and Nine Months Ended September 30, 2009

Commercial Vehicle Group Inc. reported unaudited consolidated earnings results for the third quarter and nine months ended September 30, 2009. For the quarter, the company has reported revenues of $110.8 million compared to revenues of $192.9 million for the third quarter of 2008. Net loss for the quarter was $15.9 million or $0.73 per diluted share compared to $2.6 million or $0.12 per diluted share, in the prior-year quarter. Revenues for the quarter compared to the prior-year period decreased by approximately $82.1 million, or 42.5%, due primarily to the global economic decline impacting the Company's North American, European and Asian end markets. For the quarter, the company also reported operating loss of $7.8 million and loss before provision for income taxes of $16.3 million compared to operating income of $0.5 million and loss before provision for income taxes of $3.1 million reported last year. The third quarter results include approximately $1.2 million of non-cash expense for the mark to market of the company's forward foreign exchange contracts and $3.4 million in one-time financing, legal and other fees and expenses related to the company's debt exchange completed in August 2009. For the nine months, the company also reported operating loss of $48.4 million, loss before provision for income taxes of $56.7 million and net loss of $57.8 million or $2.66 per diluted share on revenue of $322.8 million compared to operating income of $18.3 million, income before provision for income taxes of $1.1 million and net income of $1 million or $0.04 per diluted share on revenue of $599.1 million for the same period last year.

Commercial Vehicle’s 3Q loss deepens

Debt restructuring costs combined with a drop in sales exceeding 40 percent drove a third-quarter loss of nearly $16 million at Commercial Vehicle Group Inc.. The New Albany-based truck parts maker said it lost $15.9 million, or 73 cents a share, last quarter. That compares with a loss of $2.6 million, or 12 cents a share, in the same period last year. This year’s loss includes $1.2 million in non-cash charges tied to foreign exchange contracts and $3.4 million in fees and expenses related to the exchange of $52 million in senior notes with bondholders for $42 million in new notes. Third-quarter revenue fell 43 percent to $110.8 million from $192.9 million on a global slowdown in demand. Despite the deeper loss and falling top line, CEO Mervin Dunn said in a release that the company has seen “positive trends” in key markets and continues to trim expenses, which has helped operating profit this year. Cost-cutting measures this year have included plant closings and job cuts. CFO Chad Utrup said in a release the company had no borrowings under a revolving credit line as of Sept. 30, adding that executives are “very optimistic about our potential going forward.” Commercial Vehicle isn’t, however, offering earnings or revenue projections for the rest of the year. The company in the first three quarters lost $57.8 million, or $2.66 a share, compared with profit of $952,000, or 4 cents a share, in the first nine months of 2008. Revenue year-to-date has fallen 46 percent to $322.8 million from $599.1 million.
