David Gelbaum to Resign from Boards of Axion Power, Clean Power, Energy Focus and Thermoenergy

The Quercus Trust announced that David Gelbaum will resign from the boards of directors of all public companies on which he serves except for Entech Solar, Inc. Mr. Gelbaum is tendering these resignations so that he can devote time to his position as CEO of Entech Solar. The public companies from which Mr. Gelbaum will resign include Axion Power, Inc., Clean Power Technologies, Energy Focus, Inc. and ThermoEnergy Corporation. Mr. Gelbaum will become a board observer on the boards of these companies. At the same time, David Anthony, Managing Director of 21Ventures, LLC will resign from the board of directors of Entech Solar so that he can devote time to other companies in the Quercus Trust from whose boards Mr. Gelbaum is resigning. Mr. Anthony will join the board of directors of Energy Focus. He is already a member of the board of directors of Axion Power, Clean Power Technologies, and ThermoEnergy.

Effective February 5, 2010, Donald Hillier was terminated as the Chief Financial Officer of the Axion Power International Inc. The parties are working out the terms of the separation, and the company is engaged in an active search for a new Chief Financial Officer. As part of its transitional process, the company has retained the services of a consultant who formerly acted as the Chief Financial Officer of a public company in the battery industry.
