In May 1999, Ian E. Walker and Keith R. Morgan were appointed as the joint administrative receivers of the assets, property, and undertaking of Applewoods International Limited (AIL), a wholly owned subsidiary of Applewoods, Inc., in accordance with the Insolvency Act of 1986 written under English law. The purpose of their appointment was to dispose of the property of AIL and to pay the proceeds therefrom to the debenture holder in discharge of the secured debt. Following the disposition of the business of AIL, the company would have minimal assets, if any, and would not hold any interest in an operating entity. Applewoods, Inc., through AIL, was engaged in manufacturing and selling natural soaps, oils, lotions, other toiletries, and related gift products to both licensed Applewoods' retail stores and authorized distributors around the world as of March 31, 1998.118 Employees
