American Woodmark Corporation (“American Woodmark” or the “Company”) manufactures and distributes kitchen cabinets and vanities for the remodeling and new home construction markets. American Woodmark was incorporated in 1980 by the four principal managers of the Boise Cascade Cabinet Division through a leveraged buyout of that division. American Woodmark was operated privately until July of 1986 when it became a public company through a registered public offering of its common stock. American Woodmark currently offers framed stock cabinets in approximately 350 different cabinet lines, ranging in price from relatively inexpensive to medium-priced styles. Styles vary by design and color from natural wood finishes to low-pressure laminate surfaces. The product offering of stock cabinets includes approximately 80 door designs in 11 colors. American Woodmark Corporation reported unaudited earnings results for the third quarter and nine months ended on January 31, 2010. Net sales declined 32% compared with the third quarter of the prior fiscal year to $89,230,000. The Company generated a net loss of $9,121,000 or $0.64 per diluted share during the third quarter of fiscal year 2010, compared with net income of $23,000 or $0.00 per diluted share in the third quarter of its prior fiscal year. Operating loss was $9.1 million against operating profit of $23,000 a year ago. Net sales declined 27% to $294,133,000 during the nine-month period ended January 31, 2010 compared with the comparable period of the prior fiscal year. The Company's sales declines in its remodeling sales channel exceeded the Company's overall rate of decline during the third quarter of fiscal year 2010. The Company generated a net loss of $20,807,000 or $1.47 per diluted share in the nine-month period ended January 31, 2010, compared with a net loss of $301,000 or $0.02 per diluted share in the comparable period of the prior fiscal year. The Company generated positive free cash flow of $2.9 million (defined as cash provided by operating activities net of cash used for investing activities) in the third quarter of fiscal year 2010, compared with positive free cash flow generated in the third quarter of the prior fiscal year of $5.3 million. The decline in free cash flow compared with prior year was driven by the increased net loss, which was partially offset by a reduction in working capital deployed. Operating loss was $33.3 million against $1.6 million a year ago.
