The Bylaws were amended in connection with the Board, acting in its capacity as the Nominating Committee, recommending two new directors, Linda C. Thomas and Doug Andrew.

Alaska Pacific Bancshares, Inc. amended its Bylaws to increase the size of the Board of Directors from eight to nine members, effective the date of the companys annual meeting on May 18, 2010. The Bylaws were amended in connection with the Boards approval of the Corporate Governance and Nominating Committees recommendation of two new directors, Linda C. Thomas and Doug Andrew, who will stand for election at the Companys Annual Meeting. Roger Grummett, a director and the Chairman of the Board of Directors, has announced that he will not stand for reelection and therefore will be retiring from the companys Board of Directors effective the date of the Annual Meeting.
