Apollo Investment Corporation Adopts the Third Amended and Restated Bylaws of the Company

On and effective as of November 4, 2009, the Board of Directors of Apollo Investment Corporation adopted the Third Amended and Restated Bylaws of the Company. The Amended Bylaws: (i) provide that the annual meeting of stockholders may be held on any date and time set by the Board (removing the previous requirement that the annual meeting be held on a date during the period July 15th through August 15th); (ii) clarify existing procedures that allow stockholders to request special meetings and enhance the power of the chairman to adjourn such meetings under certain conditions; (iii) clarify that the Company may electronically deliver any 'Household' stockholder meeting notices and postpone or cancel a stockholder meeting by public announcement prior to the meeting date; (iv) change the vote required to elect directors from a majority of the votes entitled to be cast to the affirmative vote of a majority of the total votes cast for and affirmatively withheld and, for contested elections and under certain conditions, to allow for the election of directors by a plurality of votes cast; (v) expand the 'advance notice' provisions to (a) clarify and enhance the information required of stockholders nominating directors and proposing business at stockholder meetings, including information concerning the hedging activities of the proponents and associated persons.

Apollo Investment Corporation Reports Unaudited Earnings Results for the Second Quarter and Six Months Ended September 30, 2009 ; Declares Quarterly Dividend, Payable on January 5, 2010

Apollo Investment Corporation reported unaudited earnings results for the second quarter and six months ended September 30, 2009. For the quarter, the company reported total investment income was $84.4 million and net investment income of $51.4 million compared to total investment income of $103.6 million and net investment income of $56.5 million for the same period of last year. Net realized loss was $3.1 million compared to $30 million for the same period of last year. Net increase in net assets resulting from operations was $109.2 million or $0.71 per share compared to net decrease in net assets resulting from operations of $238 million or $1.67 per share for the same period of last year. For the six months, the company reported total investment income was $167 million and net investment income of $100.7 million compared to total investment income of $194.5 million and net investment income of $102.8 million for the same period of last year. Net realized loss was $101.3 million compared to $59.8 million for the same period of last year. Net increase in net assets resulting from operations was $193.6 million or $1.31 per share compared to net decrease in net assets resulting from operations of $166.1 million or $1.21 per share for the same period of last year. Net asset value per share as on date was $10.29 compared to $9.82 for the same period of last year. The company has declared its third fiscal quarter 2010 dividend of $0.28 per share, payable on January 5, 2010 to stockholders of record as of December 17, 2009.
